Terms and Conditions

PAYMENT AND PROJECT COMMENCEMENT

A 50% upfront payment is required before work begins. The project will commence once cleared payment has been received by No Grey Pty Ltd. The remaining balance will be invoiced upon completion or at the agreed project milestones.

PAYMENT TERMS

All invoices are payable within 14 days of the invoice date unless an earlier payment date is stated. Final artwork, files or production materials may be withheld until all outstanding invoices relating to the project have been paid.

QUOTE VALIDITY

Quotes are valid for one month from the date of issue. After this period, No Grey Pty Ltd reserves the right to review and update the quoted price, project scope or proposed timeframe.

CHANGES AND ADDITIONAL WORK

The quote covers only the work outlined in the agreed project scope. Alterations, additions or changes requested beyond the estimated work will be charged at $210 + GST per hour. Any additional third-party, production or supplier costs will be charged separately.

CONFIDENTIALITY

All concepts, creative directions, quotations and pricing supplied by No Grey Pty Ltd are confidential and intended only for the named recipient. They must not be shared, reproduced or used by another party without prior written permission from No Grey Pty Ltd.

PROJECT DELAYS, POSTPONEMENT AND CANCELLATION

If a project is delayed, postponed or cancelled by anyone other than No Grey Pty Ltd after work has commenced, No Grey Pty Ltd reserves the right to invoice for all work completed, time allocated that cannot reasonably be reassigned, and any non-cancellable third-party or supplier costs incurred.

Projects charged at an hourly rate will be invoiced for all time spent on the project up to the date of postponement or cancellation.

WORK IN PROGRESS

If a project continues for more than one month after commencement, No Grey Pty Ltd may issue work-in-progress invoices for work completed during that period. These invoices are payable within the standard payment terms.

AI-ASSISTED WORKFLOW AND HUMAN REVIEW

No Grey Pty Ltd may use AI-assisted tools as part of the ideation, drafting, image creation, editing or production process where appropriate. All work presented to the client is art-directed, reviewed and refined by No Grey Pty Ltd.

AI-assisted tools do not replace professional judgement, quality control or the client’s responsibility to review and approve the final work. Confidential client information will not knowingly be entered into publicly accessible AI tools without prior consent.

CLIENT REVIEW AND FINAL APPROVAL

The client is responsible for carefully checking all artwork before approval. This includes spelling, grammar, names, dates, prices, contact details, images, dimensions, quantities, links, colours, stock, finishes and other relevant content or production specifications.

Written approval confirms that the client has reviewed and accepted the artwork as complete and authorises No Grey Pty Ltd and any relevant suppliers to proceed with production, publication or distribution.

Once artwork has been approved, the relevant stage or deliverable will be considered complete. No Grey Pty Ltd is not responsible for errors or omissions contained in client-approved artwork, or for associated correction, reprinting, replacement, removal or republication costs, provided the finished output matches the approved artwork.

Changes requested after approval will be treated as additional work and charged at $210 + GST per hour, plus any applicable third-party, production or supplier costs.

No Grey Pty Ltd remains responsible for errors introduced by No Grey Pty Ltd after approval or where the artwork or files supplied do not match the client-approved version.

COLOUR AND PRODUCTION VARIATIONS

Colours displayed on screen may vary from printed output and cannot be relied upon as an exact representation of the finished colour. Where exact colour reproduction is critical, the client must request and approve a physical proof before production.

Reasonable variations may also occur between print runs, materials, stocks, finishes, devices, screens and production methods. These standard production variations will not be considered faults where the finished work remains reasonably consistent with the approved artwork and specifications.
